SUBJECT: Extension of Outside Counsel Agreement for Downtown Redevelopment Matters

REPORT IN BRIEF

Approval is requested for an amendment to a contract with the law firm of Goldfarb & Lipman to assist the City Attorney with legal matters pertaining to the redevelopment of downtown Sunnyvale. The requested amendment extends the contract through December 2003 and provides for fees not to exceed $85,000.

BACKGROUND

Redevelopment law specialist Lee C. Rosenthal of the law firm Goldfarb & Lipman was retained by the City Attorney, under Section 908 of the Charter, to represent the City and the Redevelopment Agency on matters pertaining to the redevelopment of the downtown area. This assistance has been particularly valuable in conjunction with the Mozart project and the proposal to redo TownCenter Mall.

DISCUSSION

Due to delays in developing the Sunnyvale downtown area, especially numerous issues related to the TownCenter Mall, including the current delays in transfer of its ownership from American Mall Properties to a new developer, it is necessary to extend the time period and increase the amount of the contract for legal services with Goldfarb & Lipman.

FISCAL IMPACT

Total cost for a two-year extension of this contract for legal services will not exceed $85,000. Funds are available from Project Budget 814950.

RECOMMENDATION

It is recommended that Council approve an extension of the agreement with Goldfarb & Lipman for Lee C. Rosenthal's legal services in an amount not to exceed $85,000.
