AMENDMENT TO SERVICES AGREEMENT
BETWEEN THE CITY OF SUNNYVALE AND BID AMERICA, INC.
FOR DOCUMENT IMAGING SERVICES

This Amendment to Consultant Services Agreement, dated ______________,  is by and between the CITY OF SUNNYVALE, a municipal corporation ("CITY") and BID AMERICA, INC, ("CONSULTANT").

WHEREAS, on August 12, 2002, CITY and CONSULTANT entered into a Consultant Services Agreement whereby CONSULTANT would provide initial and ongoing conversion of Community Development Department microfiche records to indexed CD-ROMS and

WHEREAS, the parties now agree that an Amendment to said Agreement is advisable;

NOW, THEREFORE, THE PARTIES ENTER INTO THIS AMENDMENT TO CONSULTANT SERVICES AGREEMENT:

1. Exhibit A, Section IIIA. (Scope of Work), replace the first line with the following:

Contractor shall provide any and all necessary expertise, hardware, software and equipment necessary to perform document preparation, scanning, coding and indexing services for the Sunnyvale Department of Community Development Planning and Building Divisions and the Department of Public Safety Fire Prevention Division.

2. Exhibit B (Proposer Response Pages), Pricing Section 7G :

Delete the entire Guaranteed not-to-exceed amount section

3. Section 3. (Compensation), add the following sentence:

The total value of this contract shall not exceed one hundred sixty five thousand and no/100 dollars ($165,000.00)

All other terms and conditions remain unchanged.

IN WITNESS WHEREOF, the parties have executed this Agreement Amendment.
