AMENDMENT TO CONSULTANT SERVICES AGREEMENT

AND ASSOCIATED INFRASTRUCTURE MANAGEMENT SERVICES, INC., FOR PUBLIC WORKS PROJECT MANAGEMENT SERVICES

This Amendment to Consultant Services Agreement, dated ______________, is by and between the CITY OF SUNNYVALE ("CITY") and ASSOCIATED INFRASTRUCTURE MANAGEMENT SERVICES, INC., a California corporation ("CONSULTANT").

WHEREAS, on August 7, 2001, CITY and CONSULTANT entered into a Consultant Services Agreement whereby CONSULTANT would provide public works project management services; and

WHEREAS, the parties now agree that an Amendment is advisable;

NOW, THEREFORE, THE PARTIES ENTER INTO THIS AMENDMENT TO CONSULTANT SERVICES AGREEMENT:

Compensation - Paragraph 4 of the Agreement is amended to read, as follows:

CITY agrees to pay CONSULTANT at the rate of Seventy and no/100 Dollars ($70.00) per hour. For all work performed on or after July 1, 2002, CITY shall pay CONSULTANT at the rate of Seventy Five and no/100 Dollars ($75.00) per hour. Total compensation is not to exceed Two Hundred Fifty Thousand and no/100 Dollars ($250,000.00). CONSULTANT shall submit invoices to CITY no less frequently than once per month for services performed during the preceding month. Payment shall be made within twenty (20) days of receipt of an accurate, itemized invoice by CITY's Accounts Payable Unit.

All other terms and conditions remain unchanged.
