AMENDMENT TO CONSULTANT SERVICES AGREEMENT

BETWEEN THE CITY OF SUNNYVALE AND CAROLLO ENGINEERS

FOR DESIGN AND CONSTRUCTION SUPPORT SERVICES FOR MUNICIPAL SCADA SYSTEM IMPROVEMENTS PROJECT

          This Amendment to Consultant Services Agreement, dated _______________, is by and between the CITY OF SUNNYVALE, a municipal corporation ("CITY") and CAROLLO ENGINEERS, a professional corporation ("CONSULTANT").

          WHEREAS, on October 2, 2001, CITY and CONSULTANT entered into a Consultant Services Agreement whereby CONSULTANT would provide professional services necessary for investigation, analysis, design, preparation of construction drawings and contract specifications, consultation services during bidding and construction, and other services for a project known as Municipal SCADA System Improvements; and

          WHEREAS, the parties now agree that an Amendment to said Agreement is advisable;

          NOW, THEREFORE, THE PARTIES ENTER INTO THIS AMENDMENT TO CONSULTANT SERVICES AGREEMENT:

Payment of Fees and Expenses – Design fees (identified as Task s 1 and 2 on Exhibit B) shall be increased from not-to-exceed One Hundred Thirty Thousand and No/100 Dollars ($130,000.00) to not-to-exceed One Hundred Sixty Nine Thousand Six Hundred Fifty and No/100 Dollars ($169,650.00).

Total value of this contract shall not exceed Two Hundred Twenty Nine Thousand Six Hundred Fifty and No/100 Dollars ($229,650.00).

          All other terms and conditions remain unchanged.

          IN WITNESS WHEREOF, the parties have executed this Agreement Amendment.
